4iG Group targets Nasdaq listing in the United States

  • The Company’s Board of Directors has resolved to begin preparations for listing its shares on a U.S. public equity market.
  • Subject to all necessary conditions being met, the Group aims to list the shares of 4iG Plc on Nasdaq in the fourth quarter of 2027. Nasdaq is the world’s leading trading venue for technology and growth companies and the world’s largest stock exchange by total market capitalization of listed companies. Upon completion, the listing could make 4iG the first Hungarian company with shares traded on the world's largest exchange.
  • The decision marks a new phase in 4iG’s development and is fully aligned with the previously announced international bond issuance under its funding and capital markets strategy. The Group’s business model, expanding international operations, growth ambitions and related capital requirements mean that, in its next phase of growth, it will need access to a broader international investor base and more diversified capital markets financing sources.
  • Accordingly, the planned move is intended to expand 4iG’s future capital-raising options, increase the trading liquidity of its shares and broaden its international institutional investor base, with particular emphasis on its expanding U.S. financing and investment partnerships.
  • 4iG is working with U.S. banks, law firms and advisers to assess the possible structures, requirements and timetable for the listing. Any decision on the final structure and its implementation may be taken based on the outcome of the preparatory process.
  • Compliance with the highest standards of transparency is a prerequisite for a Nasdaq listing. As part of the preparations, U.S. law firms and international audit firms will conduct comprehensive due diligence covering all of the Group’s operations.

Nasdaq listing forms part of 4iG’s international capital markets strategy

The next phase of 4iG’s growth will be shaped by capital-intensive strategic sectors including telecommunications, digital infrastructure, space and defence, and energy. The Group’s operations in these sectors are becoming increasingly regional and international in scale, requiring a broader and more diversified capital markets base.

The ongoing international bond issuance also forms part of this longer-term capital markets strategy. The bond transaction and preparations for a Nasdaq listing are complementary steps, but serve different financing objectives. The former strengthens the Group’s presence in the international debt capital markets and diversifies its financing structure, while the latter could create the conditions needed to access international equity capital markets, increase share liquidity and broaden its institutional investor base.

Another important element of the international capital markets strategy is the further strengthening of 4iG’s transatlantic financial and business ties. The Group intends to expand its U.S. financing and investment partnerships, creating more direct links to institutional capital markets in the United States. A Nasdaq listing could take this process to the next level by extending 4iG’s reach to a broader range of U.S. and other international institutional investors.

Preparing to meet U.S. capital market requirements

Entering the U.S. public equity market requires complex transactional, regulatory and organisational preparations. The Company has initiated the selection of U.S. investment banks and legal, financial, accounting and capital markets advisers. With their assistance, 4iG is assessing the possible structures, requirements and timetable for a Nasdaq listing, including potential structures for any capital raising and the necessary enhancements to its reporting and corporate governance frameworks.

The regulatory framework governing U.S. public equity markets imposes one of the world’s most stringent and comprehensive sets of requirements for transparency, reporting, internal controls and corporate governance. The preparations are intended to ensure that 4iG’s operations meet these requirements across the Group and to further strengthen the framework for internationally comparable, transparent and auditable operations.

Planned timetable

Based on the outcome of the preparatory work, the Company will determine the transaction structure and execution timetable that best serve the long-term interests of the Company and its shareholders. Under 4iG’s current plans, the Nasdaq listing could take place in the fourth quarter of 2027. If successfully completed, the listing could make 4iG the first Hungarian company whose shares are traded on the world’s largest stock exchange, as measured by the aggregate market capitalisation of its listed companies. The Company will keep investors and the public informed of material developments in accordance with the then-applicable Hungarian and U.S. capital markets regulations.
